By placing an order or subscribing to our services, you agree to these Terms and the details of your selected plan, estimate, or order.
1. Our Services
AVENiD LLC designs, develops, and maintains websites. We also provide SEO, social media services, custom business solutions, and third-party integrations.
Our websites and AVENiD-developed software are offered through a subscription-based service model. Clients pay for the right to use these services, not to purchase ownership of the underlying website design, source code, or software.
The features, services, and pricing included in your subscription are described in your selected plan, estimate, or order.
2. Subscriptions & Payments
Subscriptions are billed automatically through Stripe using your authorized payment method.
Monthly subscriptions renew each month. Prepaid 6-month and 12-month subscriptions renew for the same billing period unless canceled before renewal.
Subscription prices, billing frequency, renewal terms, and any one-time charges are disclosed before purchase.
By subscribing, you authorize recurring charges according to the billing terms presented at checkout.
Applicable taxes are calculated and collected as required by law.
If a payment fails, we will notify you and may attempt payment again.
If a payment is still unpaid 7 days after it was due, the service pauses. For a website, visitors see a short "back soon" page instead of your site. Nothing is deleted, and your site comes back online within minutes of the payment going through.
3. Setup Fees & Custom Development
Certain services may require a one-time setup fee for design, development, customization, configuration, or integration.
Setup fees are separate from recurring subscription fees.
Payment of setup fees, custom development charges, or recurring subscription fees does not transfer ownership of AVENiD's website designs, source code, software, or proprietary systems.
Setup fees for completed work are non-refundable, except as required by law. Cancellation of unfinished work is handled according to the accepted order and applicable law.
4. Offers, Discounts & Free Services
Promotional pricing applies only for the period disclosed at purchase.
After the promotional period, the regular subscription price disclosed at checkout applies.
Only one promotional code may be used per order unless otherwise stated.
Free promotional services expire on their stated end date. They will not become paid services without your authorization.
Some offers apply only together with another plan, such as a discount on SEO when you have a website plan. The discount and how long it lasts are shown at checkout. Offers do not stack; the bigger saving applies.
The free Launch Page is a one-page website for new businesses, offered to a limited number of approved applications. It is free for the period shown when you apply, starting the day the page goes live. We email you before the free period ends. To keep it, you choose to continue at the price shown, or move to another plan. If you do nothing, the page goes offline. Nothing is charged without your OK.
5. Free Website Hosting
Free website hosting is included with every active AVENiD website subscription at no additional charge.
Hosting remains available while the website subscription is active and in good standing.
When the website subscription ends, the included hosting service also ends.
Free hosting does not include domain registration, domain renewals, or paid third-party subscriptions.
When a website subscription ends or is paused, the website goes offline and visitors see a short notice page. We keep your website files for at least 30 days, so it can be restored if you come back.
6. Domain Registration & Ownership
Domain names are not provided free of charge.
Clients are responsible for applicable domain registration, renewal, and transfer fees.
AVENiD may assist with purchasing and managing domain names through independent third-party registrars.
Domains purchased on behalf of clients will be registered using the client's information, with the client retaining the rights and control associated with being the registered domain holder.
Clients may transfer their domain to another provider, subject to the registrar's applicable policies and transfer requirements.
AVENiD does not claim ownership of domain names registered on behalf of clients.
When we buy a domain for you, you pay for it before we register it. Domains renew every year at the price shown in your portal. If a renewal is not paid, the domain may expire under the registrar's rules.
7. Website Design, Code & Software Ownership
All original website designs, layouts, templates, source code, software, custom-developed features, and proprietary systems created or owned by AVENiD LLC remain the intellectual property of AVENiD LLC.
This applies to standard website subscriptions and custom-developed solutions created for individual clients.
Clients are subscribing to the use of AVENiD's website design, code, and software. They are not purchasing ownership of those assets.
While a subscription remains active and payments are current, clients receive a limited, non-exclusive, non-transferable license to use the subscribed services for their business.
No ownership rights are transferred through setup fees, monthly payments, annual payments, or custom development charges.
Ownership may transfer only through a separate written agreement expressly signed by AVENiD LLC.
8. Custom Systems & Reuse Rights
AVENiD may develop custom functionality, including reservation systems, booking features, ordering solutions, administrative tools, and other business software.
All proprietary code, systems, and designs developed and owned by AVENiD remain its intellectual property.
AVENiD may reuse, modify, improve, license, and commercialize its proprietary designs, code, features, and systems for other clients.
Custom development does not grant exclusivity unless expressly agreed in writing.
AVENiD will not reuse or disclose a client's confidential business information, private customer data, or proprietary branding when providing services to other clients.
Third-party software remains the property of its respective owners and is governed by its applicable license terms.
9. Third-Party Services & Integrations
Some websites use independent third-party providers for payment processing, reservations, online ordering, booking, and other business services.
These providers operate under their own terms, privacy policies, fees, and service conditions.
Whenever supported by the provider, third-party accounts will be registered under the client's business information, with the client retaining ownership or administrative control.
AVENiD may receive authorized access to configure, integrate, and maintain these services during the subscription.
AVENiD is responsible for the setup and integration work included in the selected plan but does not control or guarantee the independent operation of third-party platforms.
Additional subscriptions, transaction fees, and other third-party charges will be disclosed in the applicable order.
10. Client Content & Business Data
Clients retain their rights to their original business content, logos, photographs, trademarks, customer records, reservations, orders, and other business data.
Clients grant AVENiD permission to use their supplied materials only as reasonably necessary to provide the subscribed services.
Client business data is separate from AVENiD's proprietary website code, design, and software.
AVENiD does not acquire ownership of a client's original business content merely by hosting or integrating it into a website.
11. Client Data Export & Handover
Clients may request their available business data during an active subscription or upon cancellation.
Upon a verified and authorized request, AVENiD will provide or assist with exporting eligible client business data that it holds or can lawfully access, including available customer records, reservations, orders, and other relevant business information.
Data will be provided in a commonly used, reasonably accessible format where technically supported.
For data maintained by independent third-party providers, AVENiD will assist with access to available export features or account handover procedures, subject to the provider's capabilities and policies.
Data exports are subject to applicable privacy laws, security requirements, and restrictions on third-party information.
Website source code, proprietary design files, templates, internal software, and AVENiD-developed systems are not considered client business data and are not included in data exports.
AVENiD will not intentionally withhold eligible client business data to require continued website subscription payments.
12. Website Updates & Project Timelines
Website updates, revisions, and maintenance are included according to the selected plan.
Additional work outside the agreed scope may require a separate quote and approval.
Project timelines are estimates and may change when required content, feedback, or approvals are delayed.
13. Security & Maintenance
AVENiD works to provide secure, reliable, and functional website services.
However, no website or hosting service can be guaranteed to operate without interruption or error.
Security features, backups, maintenance, and restoration services depend on the applicable plan.
Clients are responsible for protecting their account credentials and notifying AVENiD of suspected unauthorized access.
14. Cancellation & Refunds
There are no long-term commitments for month-to-month subscriptions.
Clients may cancel through their customer portal or by emailing hello@avenid.com.
Cancellation stops future subscription renewals and normally takes effect at the end of the current paid billing period.
Prepaid subscription periods are generally non-refundable, except as required by law or otherwise agreed in writing.
Services remain available through the paid billing period unless suspended or terminated for another reason permitted under these Terms.
15. What Happens When You Leave
When a subscription ends, the client's license to use AVENiD-provided websites, designs, software, and custom-developed systems ends.
The website and its included hosting may then be deactivated.
Cancellation does not transfer ownership of AVENiD's source code, website designs, templates, software, or proprietary systems.
Clients retain:
- Their registered domain names.
- Their original branding, photographs, and business content.
- Their rights to eligible business and customer data.
- Their independently controlled third-party accounts.
- Their ability to export eligible data and reconnect supported third-party services elsewhere.
AVENiD will cooperate with reasonable third-party account handover procedures and remove its own administrative access where appropriate.
Clients are responsible for maintaining third-party subscriptions and reconnecting them to another website or service provider.
AVENiD is not required to transfer proprietary website code or rebuild integrations on another platform unless separately agreed.
17. Client Responsibilities
Clients agree to provide accurate information, lawful content, and necessary project approvals.
Clients must have the right to use all materials they submit.
Clients are responsible for their business operations, protection of account credentials, and compliance with applicable laws.
Clients may not use AVENiD services for unlawful, fraudulent, abusive, or unauthorized activities.
18. Service & Pricing Changes
AVENiD may update, improve, or modify its services.
Material changes to subscription pricing or included services will be communicated in advance as required by law.
Price changes will apply according to the disclosed renewal terms and applicable notice requirements.
Clients may cancel before an affected renewal.
19. Limitation of Liability
To the maximum extent permitted by law, AVENiD LLC is not liable for indirect, incidental, special, or consequential damages, including lost profits, lost revenue, or business interruption.
To the maximum extent permitted by law, AVENiD's total liability arising from the services will not exceed the amount paid to AVENiD for the affected services during the three months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or restricted.
20. Privacy
We handle personal information according to our Privacy Policy and applicable law.
Independent third-party providers maintain their own privacy policies and data-handling procedures.
21. Changes to These Terms
AVENiD may update these Terms to reflect changes in its services, operations, or legal requirements.
Material changes will be communicated as required by law.
The latest version will be published on our website with an updated effective date.

These Terms are governed by the laws of the State of Washington, except where applicable law requires otherwise.
